Singapore has become the base from which many Asian families now hold and govern their wealth. Setting up the structure is the straightforward part. The harder questions are the ones that arrive later: who decides, on what mandate, and what happens when the generation that built the wealth is no longer the generation running it.
At Triangle Legal LLC, our family office lawyers advise principals, family members and their advisers on establishing and governing single family offices in Singapore, on the fund structures that sit beneath them, and on the succession and governance arrangements that determine whether the structure survives a generational transfer. We act as legal counsel to the family, working alongside your tax advisers, fund administrators and private bankers rather than in place of them.
Families setting up a single family office usually bring a lawyer in at the architecture stage, and that is where the decisions with the longest tail are made: the family office management entity, the underlying fund vehicle, and the holding structures beneath it.
Choices here affect the tax incentive position, the regulatory perimeter, employment and pass applications for the investment team, and how easily the structure can later be varied. We work through them with you before anything is incorporated. The underlying companies are structured by our corporate structuring and governance team.

Fund vehicles managed from a Singapore family office commonly apply for exemption under the Section 13O onshore fund scheme or the Section 13U enhanced tier scheme administered by the Monetary Authority of Singapore. Each carries its own conditions on assets under management, local business spending, investment professionals employed in Singapore, and capital deployment into local investments, and these conditions have been tightened over successive updates.
We prepare the legal elements of the application and, importantly, advise on whether the family can realistically meet the ongoing conditions rather than only the entry ones.
A family office managing only the assets of a single family generally sits outside the fund management licensing regime, but that depends on how the family is defined and how the entity is structured. Where the arrangement drifts towards managing third-party or extended-family money, the analysis changes. Our regulatory and compliance advisory team advises on where the line falls.

Family charters, investment committee mandates, reserved matters, conflict and related-party policies, and the mechanism for resolving disagreement between family branches. These documents are what stop an ownership dispute from becoming litigation a decade later. The service and mandate agreements are drafted by our commercial contracts practice.
Wills, trusts, shareholding transfer arrangements and the interaction between a family office structure and the personal estates of its principals, applying the succession framework set out in the Intestate Succession Act 1967 where no valid will exists. Where a family holds assets across several jurisdictions, the succession analysis has to be run in each of them. Succession disputes are handled by our estate and inheritance disputes lawyers.

Where the family requires a dedicated fund vehicle, the Variable Capital Company is frequently the structure of choice, with sub-funds ring-fencing different strategies or family branches. Our fund creation and administration practice handles the incorporation and constitutive documents.
Considering a Singapore family office? The first question is whether you need one. Contact us for a complimentary, confidential 10-minute case assessment and we will tell you plainly if a simpler holding structure achieves the same objective at a fraction of the running cost.
We start with what the family is actually trying to achieve: consolidation of holdings, a professionalised investment function, a residence outcome, an orderly succession, or some combination. The structure follows from that, not the other way round.
We map the entities, confirm the regulatory perimeter, and assess realistically whether the incentive conditions are sustainable given the family's assets and appetite for local substance.
Incorporation, constitutive documents, service agreements, investment mandates, applications, and coordination with your tax and administration providers.
Ongoing counsel as the family, the assets and the rules all change. Incentive conditions in particular are reviewed periodically and structures set up years ago frequently need revisiting. Our article on family offices in Singapore covers the structuring landscape in more detail.
If a structure is already in place, incentive conditions and governance documents are worth reviewing periodically. Conditions have been revised more than once. Request a complimentary 10-minute case assessment.
We tell families when a family office is not the right answer. For some, a well-drafted holding structure and a will achieve the same objective without the substance requirements and running cost.
Structuring and application work is scoped and quoted before it begins, with a clear split between the legal work and the third-party costs of administration, audit and tax advice.
Family matters are confidential and personal. Your matter is handled by our Founder and Managing Director, Nico Lee, and senior counsel, and stays with them.
We are a private wealth law firm, not an administrator, trustee or fund manager, so our advice on whether a structure is appropriate is not connected to who ends up running it.
Family office work overlaps with the rest of the practice, and the same senior lawyer stays with you as the work moves between teams.
The structure, the permissions and the governance. That means the family office entity and the fund vehicles beneath it, the tax incentive application and whether its conditions can realistically be sustained, the licensing perimeter, and the family charter and investment mandates that decide who can commit capital. It sits alongside your tax advisers and administrators rather than replacing them.
A single family office is an entity established to manage the assets of one family, typically employing an investment team and coordinating tax, legal and administrative functions. It makes sense where the asset base is large enough to justify a dedicated professional function and where the family wants consolidated governance across branches. Below a certain scale, a simpler holding structure with external advisers achieves the same result at a fraction of the running cost, and we will say so.
Both are tax incentive schemes for funds managed from Singapore, administered by MAS. In broad terms 13O applies to funds incorporated in Singapore and carries lower entry thresholds, while 13U has higher minimum assets under management and higher local business spending requirements but offers greater flexibility, including on fund domicile. Both impose conditions on investment professionals employed locally and on capital deployment. The conditions have been revised more than once, so current requirements should be confirmed before an application is prepared.
A family office managing only the assets of a single family generally falls outside the licensing regime, and MAS has historically dealt with this through exemption rather than licensing. The analysis turns on how the family is defined, whether any third-party money is involved, and how the entities relate to one another. Where extended family branches, trusts or non-family investors are in the structure, the position needs to be confirmed rather than assumed.
Employment or other passes for the family office's investment professionals are a normal part of establishing a substantive operation here, and residence considerations are frequently among the family's objectives. However, pass and residence outcomes are assessed by the relevant authorities on their own criteria, and no structure or adviser can assure a particular result. We advise on the legal steps and set expectations realistically.
A Variable Capital Company is a Singapore corporate fund vehicle that allows capital to be issued and redeemed at net asset value and permits sub-funds whose assets and liabilities are segregated from one another. Families use it where different branches or strategies need to be ring-fenced within a single umbrella. It is not always necessary; a straightforward private limited company is often sufficient for a family investing its own capital in a single strategy.
With documents drafted while everyone still agrees. A family charter, clear investment committee mandates, reserved matters requiring supermajority approval, and a defined escalation and exit mechanism handle most disagreements before they reach a court. The disputes that become litigation are almost always the ones where governance was left informal because the family assumed it would never be needed.
