Every growing company reaches a point where the way it was originally set up starts to hold it back. A shareholding structure agreed over coffee no longer survives an investor's due diligence. A director signs something they had no authority to sign. A founder leaves and takes 30 per cent of the equity with them.
At Triangle Legal LLC, our commercial lawyers in Singapore understand that running a business comes with challenges. Compliance obligations change often enough to be easy to fall behind on. Most companies want continuity from their corporate lawyer rather than a one-off transaction, and that is how we are set up.
Our corporate advisory services support growth, risk management and regulatory compliance. Whether you're launching a startup, expanding internationally, or managing daily operations, our business-focused legal solutions are built around how your company actually operates. We believe in building long-term relationships with our clients. We do not just offer corporate legal advice. We work alongside you as commercial partners, helping you make informed, strategic decisions that protect and enhance your company's value.
Managing legal matters without professional guidance can expose your business to risks. A corporate lawyer is not just a problem-solver, they help prevent legal issues before they arise. Here's why businesses trust Triangle Legal LLC:
We identify and resolve potential legal issues before they become costly.
We keep businesses aligned with evolving corporate laws, avoiding penalties.
We draft contracts that protect your business interests and reduce risks.
From mergers and acquisitions to fundraising and restructuring, we provide legal strategies that support long-term success.
We address each of these directly: stage-by-stage pricing, and a strategy kept financially proportionate to what is actually at stake.
Not sure what your current structure exposes you to? We can map your cap table, constitution and material contracts against where the risk actually sits, and tell you what is worth fixing first. Contact us for a complimentary, confidential 10-minute case assessment to see whether it is worth doing.
We offer comprehensive legal services tailored to businesses of all sizes.

We incorporate Singapore entities and keep them compliant with the Companies Act 1967 and ACRA filing obligations: registers of members and controllers, annual returns, director appointments and resignations, share allotments and capital reductions. Most of the corporate housekeeping problems we are asked to fix later began as a filing nobody made at the time. Where a licence is required, our regulatory and compliance advisory practice handles the application.
We draft the document that decides what happens when the founders stop agreeing: reserved matters, board composition, pre-emption rights, drag-along and tag-along provisions, founder vesting, leaver provisions and deadlock mechanics. This is the single highest-return document a private company can get right, and the one most often left until it is too late. See our guide to shareholders' agreements in Singapore. When you raise capital, our fundraising lawyers negotiate the term sheet.

Directors of Singapore companies owe statutory and fiduciary duties to act honestly and use reasonable diligence. We advise boards on conflicts of interest, related-party transactions, dividend declarations and the point at which directors' duties begin to shift towards creditors as solvency deteriorates. If a shareholder relationship breaks down, our shareholder disputes team takes it from there.
Supply agreements, distribution and reseller terms, service agreements, NDAs and website terms. Our commercial contracts practice handles the paperwork your business runs on.

We map your current corporate structure, cap table, constitution and material contracts, and tell you plainly where the exposure sits.
We prioritise by commercial risk rather than by billable volume. Rectifying an unfiled share allotment usually matters more than redrafting a supplier template.
As matters arise, transactions, hires, disputes, funding rounds, you deal with the same senior lawyer who already knows your structure. When a transaction follows, our mergers and acquisitions team runs the diligence and the sale documents.
If you are comparing firms, ask each one to scope your matter and put the fee in writing. We will do that before you engage, so you are not committing to an open-ended hourly arrangement. Request a complimentary 10-minute case assessment.
We advise on the structure you actually trade through, not the one on paper. That means telling you which housekeeping matters commercially and which can wait, rather than handing you a list of everything technically outstanding.
We provide itemised fee breakdowns and, for defined corporate work, fixed fees, so you face no financial surprises.
Your matter is handled by our Founder and Managing Director, Nico Lee, and senior counsel, rather than passed to a junior associate.
From high-growth technology startups to established family-owned SMEs and multinational stakeholders, we understand the internal dynamics governing Singapore-based entities.
Corporate advisory rarely stops at structuring, and the same senior lawyer stays with you as the work moves between teams.
Most often at three points: when ownership changes, when the company signs something that binds it for years, and when it takes on external money. Incorporation, a shareholders' agreement, a major supply or distribution contract, an ESOP and a funding round are all moments where the cost of getting it wrong far exceeds the cost of advice. Ongoing compliance work sits underneath all of that.
A corporate lawyer advises on how your company is owned, governed and run, rather than on a single dispute. That covers incorporation and structuring, shareholders' agreements, directors' duties, ACRA and Companies Act compliance, commercial contracts, employee share schemes, fundraising and acquisitions. The work is preventative: it is designed to remove the risks that later become litigation.
In Singapore practice the terms overlap heavily and many firms, including ours, use them interchangeably. Where a distinction is drawn, corporate work concerns the company as an entity, its shares, its directors and its transactions, while commercial work concerns the contracts the business trades under day to day. Most SMEs need both, which is why we run them from one team.
It depends on scope. Defined pieces of work such as incorporation, a shareholders' agreement, an ESOP or a constitution can usually be quoted as a fixed fee once we understand the structure. Ongoing advisory and transactional work is quoted by stage, with an estimate before each stage begins. We will tell you at the outset which category your matter falls into.
Yes. Under the Companies Act 1967 every Singapore company must have at least one director who is ordinarily resident in Singapore, meaning a citizen, permanent resident, or in certain cases an EntrePass or Employment Pass holder. Foreign founders commonly satisfy this through a resident nominee director while their own pass application is pending.
Before the second shareholder joins, and certainly before any external money comes in. Founder vesting, leaver provisions and reserved matters are straightforward to agree while everyone is aligned and become extremely difficult once someone wants to leave. Investors will also expect one, and a missing or poorly drafted agreement is a common reason for delay in a funding round.
Yes. Rectifying registers, late annual returns, unrecorded share transfers and unfiled director changes is regular work for us. It is best dealt with before a transaction or a dispute forces the issue, because a buyer's due diligence or an opposing party's searches will surface the gaps at the worst possible moment.
Whether you are incorporating, restructuring your cap table, or bringing order to years of corporate housekeeping, Triangle Legal LLC can help. Contact us to request a complimentary 10-minute case assessment. It is confidential, and there is no obligation to take things further.
